ProDigital AV Dealer Terms and Conditions Agreement
1. Introduction
This Dealer Terms and Conditions Agreement ("Agreement") is made by and between ProDigital AV ("Company") and the undersigned dealer ("Dealer"). This Agreement outlines the terms and conditions under which Dealer is authorized to purchase Company products for resale.
2. Dealer Qualification and Account Status
a. To qualify for dealer status, applicants must:
- Complete the "Dealer Application" form.
- Provide and maintain a valid resale certificate.
- Demonstrate they are a legitimate business operating within the Audio-Visual (AV) industry. This may include providing evidence of business activities, professional certifications, or memberships in relevant industry associations.
Upon successful verification and ongoing compliance with these requirements, the Dealer’s account will be set to a tax-exempt status for purchasing products for resale.
b. The Company reserves the right to review and adjust the Dealer’s account status based on:
- Compliance with this Agreement.
- The validity of the resale certificate.
- Adherence to applicable laws.
- Continued demonstration of operation within the AV field.
3. Minimum Advertised Price (MAP) Policy
a. The Company enforces a Minimum Advertised Price (MAP) policy, corresponding to the Manufacturer's Suggested Retail Price (MSRP), to maintain brand integrity and value. This policy covers all advertised prices in any media.
b. Dealers are required to adhere to MAP policies, including those of other manufacturers distributed by the Company. Violations may result in sanctions such as order suspension or account termination.
c. MAP details are accessible within the Dealer's account on the Company’s eCommerce site.
4. Compliance and Enforcement
a. The Company will monitor Dealer compliance with the terms of this Agreement, including the MAP policy. Non-compliance may result in corrective actions up to and including termination of Dealer status.
b. Dealers agree to cooperate with inquiries related to compliance with this Agreement.
5. Termination
Either party may terminate this Agreement with written notice. Upon termination, Dealer must cease selling Company products and advertising as an authorized dealer.
6. General Provisions
This Agreement contains the complete terms between the parties regarding Dealer’s purchase and resale of Company products. Amendments must be in writing and signed by both parties.
Execution of Agreement This Agreement is accepted electronically through the Company’s Dealer Application process. By submitting the Dealer Application with an e-signature, the Dealer agrees to the terms herein.
